Terms for creators

1. Ferry – the software and online platform at https://getferry.store operated by the Company, which helps Creators build sales pages, take payments, deliver products and manage customers.
2. Company, we or us – Ferry is operated by Đinh Nguyên Khánh (sole proprietor), email hi@getferry.store. Address and tax number: being updated.
3. Creator or you – an individual, household business or organisation that registers an Account to sell Products through Ferry.
4. Buyer – an individual or organisation that buys a Creator's Products through a sales page on Ferry.
5. Products – digital products, courses, event tickets, memberships or services the Creator sells through Ferry.
6. Account – the Creator's account on Ferry, used to manage Products, orders, customers and settings.
7. SePay – a third-party service that lets Ferry receive incoming transaction data from the Creator's bank account to confirm orders automatically.
8. Successful order – an order where the Buyer's money has reached the Creator's bank account and been confirmed by Ferry through the SePay connection.
9. Platform fee – a fee equal to 5% of each Successful order, payable by the Creator to the Company.

1. Ferry provides software. The Company is not the seller of Products and does not receive, hold or transfer money on your behalf.
2. You are the seller. The sales contract for a Product is between you and the Buyer. You are responsible for the Product, its description, pricing, delivery and Buyer support.
3. You keep all rights to your content and Products and own your customer relationships. You grant the Company a non-exclusive, royalty-free right to store, display and deliver that content to Buyers, only as needed to operate Ferry.
4. You allow the Company to display your store name and logo to showcase Ferry. You can ask us to stop at any time by email.

1. To use Ferry, you register an Account with accurate, up-to-date information. You must be at least 18 with full legal capacity, or a lawfully established organisation.
2. You are responsible for keeping your login details secure and for all activity in your Account. Tell us immediately if you notice unauthorised access.
3. The Company may ask you to verify your identity or business details where needed to prevent fraud or as required by law.

1. The accepted payment methods on Ferry are VietQR and bank transfer into your own bank account.
2. To take orders, you must link your own SePay account to a bank account in your name (or your household business's or organisation's name) and connect it to Ferry. The receiving bank account must be at a bank that SePay supports. You comply with the terms of SePay and your bank.
3. Ferry uses transaction data received from SePay only to reconcile and confirm orders. Ferry cannot withdraw, transfer or freeze money in your account.
4. An order is only confirmed once the money is in your account. The Company is not responsible for bank or SePay outages beyond its reasonable control.

1. You can use every Ferry feature for free. The Company charges a Platform fee of 5% of each Successful order. There is no subscription, setup fee or hidden fee.
2. At the end of each month, the Company totals the Platform fee on that month's Successful orders and sends you an invoice. You pay it by VietQR within 7 days of the invoice date.
3. If payment is overdue, your store pauses new orders until it is paid in full. Existing orders and Buyers' access are not affected.
4. The Platform fee does not include any charges you pay to third parties such as your bank or SePay.
5. The Company may change the fee with at least 30 days' notice. A new fee does not apply to orders placed before it takes effect.

1. You set the refund policy for your Products in line with consumer protection law and make it clear to Buyers.
2. To refund, you transfer the money back to the Buyer yourself and mark the order as refunded in Ferry.
3. The Platform fee on the refunded amount is credited back to you proportionally, on that month's or the next month's fee invoice.
4. For refunded orders, Ferry may revoke the Buyer's access to the Product according to your settings.

1. You are responsible for registering your business (where the law requires), declaring and paying tax on your Product sales, and issuing e-invoices to Buyers under tax and invoicing rules.
2. The Company does not declare or pay taxes or issue sales invoices on your behalf. Ferry provides revenue reports and data exports to help; you check their accuracy before relying on them.
3. You meet your obligations to consumers under the Law on Consumer Rights Protection, including giving truthful information about Products, prices and terms, and handling Buyer complaints.
4. The Company issues invoices for the Platform fee you pay.

You may not use Ferry to sell or distribute:

1. Products or services prohibited from trading under Vietnamese law, or content contrary to social morals;
2. Content that infringes third parties' copyright, trademarks or other intellectual property rights;
3. Fraudulent or misleading content, unfounded income promises, or unlawful multi-level schemes;
4. Malware, unlawfully collected personal data, or pornographic, violent or hateful content;
5. Any other content the Company reasonably considers a legal or reputational risk to Ferry and Buyers.

1. The Company processes personal data in line with Ferry's Privacy Policy and Vietnamese personal data protection law.
2. For Buyer data, you decide the purposes of processing; Ferry processes that data on your behalf to run your store, deliver Products and send order-related notifications.
3. You only use Buyer data for the purposes you disclosed, with consent where the law requires it, and keep any data you export from Ferry secure.

1. You can stop selling or delete your Account at any time. The Platform fee on Successful orders already made remains payable.
2. The Company may suspend or terminate your Account if you breach these terms, sell prohibited content, fail to pay the Platform fee, or at the request of a competent authority. Except in urgent cases, we will give you notice and time to fix the issue.
3. When your Account is terminated, you may request an export of your order and customer data within 30 days, unless the law prevents it.

1. Ferry is provided as is. We work hard to keep it running reliably but do not promise it will never be interrupted or error-free.
2. To the extent permitted by law, the Company is not liable for indirect losses, lost profits or lost data arising from your use of Ferry.
3. The Company's total liability to you will not exceed the Platform fees you paid in the 3 months before the event giving rise to the claim.
4. You are responsible for, and will indemnify the Company against, claims by Buyers or third parties relating to your Products, content or tax obligations.
5. Nothing here excludes liability that cannot be excluded by law.

1. The Company may update these terms. We will notify you by email or in your dashboard at least 15 days before changes take effect (30 days for fee changes).
2. If you don't agree with a change, you can stop using Ferry before it takes effect. Continuing to use Ferry after that date means you accept the new terms.

1. These terms are governed by the laws of Vietnam.
2. The parties will first try to resolve disputes through negotiation. If that fails within 30 days, the dispute will be settled by a competent court of Vietnam.
